Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the Yellow Polar website (yellowpolar.com), client dashboard, and mobile application (collectively, the “Services”), operated by Yellow Polar SPC (“Yellow Polar”, “we”, “us”, or “our”), a company registered in Oman (CR No. 1543664).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

The Services are intended for business and professional use. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. Use of the Services is restricted to authorized clients and team members of Yellow Polar.

3. Your Account

Access to certain features of the Services requires an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access at support@yellowpolar.com

We reserve the right to suspend or terminate accounts that violate these Terms or that appear to have been compromised.

4. Permitted Use

You may use the Services solely for their intended purpose: accessing Yellow Polar services, viewing project information, and communicating with the Yellow Polar team. You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to reverse engineer, decompile, or extract the source code of any part of the Services
  • Upload or transmit viruses, malware, or harmful code
  • Impersonate any person or entity
  • Use the Services to send spam or unsolicited communications
  • Attempt to gain unauthorized access to systems connected to the Services
  • Scrape, copy, or reproduce any content from the Services without written permission

5. Intellectual Property

All content within the Services — including text, graphics, logos, UI design, and software — is the property of Yellow Polar SPC or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. No ownership rights are transferred to you. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.

6. Quotes and Service Agreements

  • All estimates/quotes are based on our understanding of your requirements and as per the given time-frame. Any changes to the functionality may incur additional costs.
  • By accepting a quote, you agree to and accept these Terms. Acceptance can be verbal, by email, payment of initiation, or signing a quote.
  • Clients must ensure that all requirements are included in quotes/proposals and that we fully understand their requirements. Any discrepancy arising due to unclear requirements will not be borne by Yellow Polar SPC.

7. Project Timelines and Costs

  • There are limited man-hours allocated to each task. Minor changes may be included within the allocated hours, analyzed on a case-by-case basis.
  • Yellow Polar SPC will make every effort to complete projects in the given timeframe. Reasonable delays are accepted if functionalities are redefined or modified.
  • Stalling of a project for over two calendar months may incur administration costs and increase previously approved estimates.
  • Any re-work on completed tasks or changes after design approval will attract additional charges.
  • Any bugs (programming errors) reported during or just after development do not attract additional charges.

8. User-Submitted Content

If you submit any content through the Services (such as messages, files, or feedback), you grant Yellow Polar a non-exclusive license to use that content solely for the purpose of providing and improving the Services. You represent that you have the right to submit such content and that it does not violate any third-party rights.

9. Software and Code Ownership

  • Yellow Polar software codes (not including open-source software) are copyrights of Yellow Polar SPC. Codes can be handed over at an additional cost once all invoices are settled, on the condition that they are used only for the specified client.
  • Yellow Polar owns copyrights of all codes written for any client unless arrangements are made prior to the start of the project.
  • Any third-party component purchase costs (such as SSL, payment gateways, plug-in licenses, etc.) are not included in our quotes unless stated otherwise.

10. Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to our data practices as described in that Policy.

11. Third-Party Services

The Services may integrate with or link to third-party services. Yellow Polar is not responsible for the content, privacy practices, or availability of third-party services. Your use of any third-party service is governed by that service's own terms and policies.

12. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Yellow Polar does not warrant that the Services will be uninterrupted, error-free, or free of viruses or harmful components. We reserve the right to modify, suspend, or discontinue the Services at any time without notice.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Yellow Polar SPC and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services. Our total liability to you for any claim arising from these Terms or use of the Services shall not exceed the amount you have paid to Yellow Polar in the three months preceding the claim.

14. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive. You may stop using the Services at any time and request account deletion as described in our Privacy Policy.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the Sultanate of Oman. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Muscat, Oman.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date above and, where appropriate, notify you through the Services. Continued use of the Services after changes constitutes your acceptance of the updated Terms.
